Description:
We are seeking a highly skilled Corporate Lawyer to join our team in Islāmābād. The ideal candidate will possess a minimum of 7 years of post-qualification experience (PQE) in Company Law and corporate matters, with a proven track record of handling complex legal issues for international clients.
Key Responsibilities:
- Corporate Structuring: Advise on optimal corporate structures for Chinese clients, including the establishment of branch offices, liaison offices, subsidiaries, and independent resident companies.
- Regulatory Compliance: Ensure ongoing compliance with Pakistani corporate laws, including but not limited to the Securities and Exchange Commission of Pakistan (SECP) regulations, Board of Investment (BOI) requirements, and other relevant statutory frameworks.
- Shareholder and Investment Matters: Handle share acquisitions, transfers, and capital adjustments, as well as drafting and negotiating shareholders' agreements, founders' agreements, and other related documentation.
- Contract Drafting: Prepare and review a wide range of corporate contracts, including joint venture agreements, share purchase agreements, and commercial contracts.
- Due Diligence: Conduct comprehensive legal due diligence on target companies and investments, including drafting due diligence reports and identifying potential legal risks.
- Dispute Resolution: Provide legal advice and support in case of disputes related to corporate matters.
- Corporate Restructuring: Advise on and execute corporate restructuring initiatives, including mergers, acquisitions, demergers, amalgamations, and conversions (e.g., private to public, public to private, private to SMC).
- Company Closure: Handle company closures, including winding-up, dissolution, and liquidations, ensuring compliance with legal requirements.
- Legal Opinions: Prepare and provide legal opinions on a variety of corporate and commercial matters.
- Legal Risk Assessment: Identify, assess, and mitigate legal risks for clients.
Requirements:
- Minimum 7 years of PQE in Company Law and corporate matters.
- In-depth knowledge of Pakistani corporate law and regulatory environment.
- Strong drafting and negotiation skills, with a particular focus on contract drafting, legal opinions, and due diligence reports.
- Excellent analytical and problem-solving abilities.
- Ability to work independently and as part of a team.
- Fluency in English and Chinese (preferred).
